These terms govern the services provided under the Veuve Noire brand. They supplement the written proposal given to each client before any service begins.
1. Purpose
These terms govern the services provided by L'Entité Nexus inc., under the Veuve Noire brand (the "Provider"), to any person who accepts them (the "Client"). They supplement the written proposal given to the Client, which prevails in case of discrepancy.
2. Nature of the services
The Provider offers analysis, training and decision-support services: guided self-verification, digital footprint audit, romance fraud prevention, consistency analysis before a commitment, relationship and reputation crisis management, analysis and prevention.
The Provider does not collect any information about third parties. It gives the Client a lawful verification method and analyzes the material the Client provides. The digital footprint audit covers only the Client or the Client's business.
3. What is excluded
The Provider carries out no investigation activity within the meaning of the Private Security Act (CQLR, c. S-3.5): searching for people, gathering information about others, shadowing, surveillance. It provides no legal opinion, no immigration advice and no representation. It accepts no mandate of this kind; where applicable, it refers the Client to an agency licensed by the Bureau de la sécurité privée or to a professional who is a member of an order, with whom the Client contracts directly. The Provider is not a party to that contract and does not receive its price.
4. Initial consultation and proposal
The initial consultation is free and without obligation. If the Provider believes it can help the Client, it gives the Client a written proposal setting out the scope, deliverable, estimated timeline, price and payment terms. The contract is formed when the Client accepts the proposal in writing (email is sufficient) and pays the deposit, if any.
5. Prices and payment
Prices are in Canadian dollars, taxes (GST and QST) extra. Fixed-fee services are displayed on the site; other services are subject to a proposal.
Payment by direct contact: a 50% deposit upon acceptance of the proposal, payable by Interac e-Transfer, cheque or cash (a receipt is issued); balance upon delivery of the report or deliverable. A compliant invoice is issued for each payment. No payment is requested or accepted through the site.
Late payment of the balance suspends delivery of the deliverable.
6. Client obligations
The Client undertakes to provide accurate information, to hand over only material the Client legitimately holds, and to use only lawful collection methods, as provided by the Provider. The Provider refuses and destroys any material obtained through unauthorized access to an account, interception of communications, geolocation of a person or any other unlawful means, and may terminate the contract without refunding services already rendered.
7. Deliverables and timelines
Deliverables (method, templates, analysis report, recommendations) are sent to the Client by encrypted email within the timeline estimated in the proposal. This timeline is indicative and depends on the Client providing the material. The report is based solely on the material provided; the Provider does not guarantee its completeness or authenticity.
8. Cancellation and termination
The Client may cancel before work begins; the deposit is then refunded, less any costs incurred. Once work has begun, services rendered remain payable pro rata. A Client who is a consumer retains all rights under the Consumer Protection Act, in particular regarding distance contracts; nothing in these terms restricts them.
The Provider may terminate the contract if the Client breaches section 6, or if the request turns out to fall within an excluded activity (section 3).
9. Confidentiality
A confidentiality agreement is signed before each mandate. Exchanges are encrypted; files are handled in silos. Personal information is processed in accordance with the Privacy policy and Law 25. The Provider never discloses the identity of its clients.
10. Liability
The Provider has an obligation of means. Its analyses and recommendations help the Client decide; the decision and its consequences belong to the Client. The Provider's liability is limited to the fees received for the service concerned, except in case of gross or intentional fault and subject to public order provisions.
11. Ownership of deliverables
Templates and methods remain the property of the Provider; the Client receives a personal licence to use them. The analysis report is given to the Client for the Client's own use.
12. Emergencies
The Provider's services are not an emergency service. In case of immediate danger, call 911.
13. Governing law
Laws applicable in Quebec and in Canada. Any dispute falls within the jurisdiction of the courts of the judicial district of Montréal, subject to mandatory provisions applicable to consumers.
